The agreement
These terms are an agreement between Innoedge Technologies Limited (RC 1749421, 12 Parakou Street, Wuse 2, Abuja, FCT) ("Innoedge", "we", "us"), which operates Financiar, and the business that opens a Financiar account ("your business"), together with each person who uses Financiar on its behalf ("you"). By creating an account or accepting an invitation you agree to these terms and to our privacy policy.
You must be at least 18, and you confirm that you are authorised to act for the business you add or join.
What Financiar is, and is not
Financiar is software for managing business spending: a business wallet, spend requests with evidence, approval chains, payouts, bill purchases, invoices and reports. Financiar is not a bank and does not take deposits. Payments, virtual funding accounts, card deposits and transfers are carried out by licensed payment partners, currently Paystack, and bill purchases by VTpass. Money your business pays in is collected by Paystack and settled into Innoedge’s accounts, where it is held for your business: it is recorded to your business’s wallet, used only for the payments and fees your business approves, and earns no interest.
Your wallet balance is the sum of the recorded movements on your business’s account. Money held for an approved request or a payout in progress is shown as held and is not available to spend.
Accounts and security
- Sign in with your phone number and the code we send you, then set a PIN. Keep your PIN and your device secure, and do not share them. Anyone holding your unlocked device and PIN can act as you.
- Tell us at once at [email protected] if you think your account, device or PIN has been compromised.
- Before a business can be funded, its owner must verify their identity with a Bank Verification Number. We may ask for more information and may refuse or limit an account we cannot verify.
Roles and approvals
Your business decides who joins and which role each person has (Owner, Finance, Department head, Accountant or Staff), and sets its approval rules. Money moves from the wallet only after a request clears its approval chain and an authorised person confirms with their PIN. No one can approve their own request, including the Owner. Your business is responsible for the people it invites and for the approvals they give.
Payments, bills and fees
- Check before you confirm. The bank names the account holder before you pay a new account. A transfer sent to the account details you confirmed cannot be recalled by us.
- A payment is complete when our payment partner confirms it, not when you tap Pay. Until then it is shown as in progress and the money stays held.
- Fees for funding, transfers, payslips and other features are shown in the app before you confirm. We will give at least 30 days’ notice in the app before a fee goes up.
- Bill purchases are delivered by the biller through VTpass. If a purchase fails, the amount is returned to your wallet.
- Mistakes we make are corrected with a new, visible entry; records are never silently changed.
Evidence and other content
Receipts, photos, documents, videos and voice notes you attach remain yours. You give us permission to store, process and show them to the people in your business who can see the request, for as long as we must keep the related records. You confirm that you have the right to upload them and that they are accurate.
Acceptable use
You must not use Financiar to:
- break any law, including laws on money laundering, terrorist financing, sanctions, fraud or tax;
- pay for goods or services that are illegal in Nigeria;
- submit false evidence or impersonate another person or business;
- probe, disrupt or try to gain unauthorised access to the service or another business’s data.
We may delay, refuse or reverse a transaction, or suspend an account, where we reasonably suspect any of these, or where the law or a regulator requires it. Where the law allows, we will tell you why.
Availability and changes
We work to keep Financiar available, but it may be interrupted for maintenance or by events outside our control, including outages at banks and payment partners. We may change or retire features; if a change materially reduces what you rely on, we will tell you in advance.
Closing your account
You can ask us to delete your account at any time from the app or as described on Delete your account. A business owner should first withdraw or spend the business’s balance; we will contact you about any money still held. We may close an account that breaks these terms, after notice where the law allows. Records the law requires us to keep are retained as described in the privacy policy.
Our responsibility to you
Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence. Otherwise, we are not liable for loss caused by payment partners, banks or billers, by approvals your business gives, by details you enter, or by events outside our reasonable control; and our total liability to your business in any 12 months is limited to the fees your business paid us in that period.
Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. Please raise a complaint first with [email protected]; we will respond within 10 business days. Disputes we cannot resolve together go to the courts of the Federal Capital Territory, Abuja.
Changes to these terms
We will post changes here and update the date at the top. Material changes will be notified in the app or by email at least 30 days before they apply, and continuing to use Financiar after that date means you accept them.
